AI Likeness & Cloning Consent.

NEXUS creates AI clones of real people — voice, face, and likeness — only with the written, informed consent of the individual whose voice and likeness are used. This page sets out the substantive terms of that Consent. Every Subject signs a counterpart of these terms as a separate PDF before any recording, training, or generation begins.

Who this Consent applies to

Throughout this document the “Subject” is the individual whose voice, face, or likeness will be used by NEXUS. The Subject may be the Client itself (where the Client is an individual), an officer of the Client (for example, a founder or executive), or an individual the Client has the authority to engage. The Subject signs freely, without coercion, having had the opportunity to take independent legal advice, and confirms they are at least 18 years old.

NEXUS is operated by Aura AI Agents L.L.C-FZ, a Free Zone Limited Liability Company registered in the Meydan Free Zone, Dubai, U.A.E., Commercial Licence No. 2647800.01. The Subject grants this Consent in connection with the Client Services Agreement between NEXUS and the relevant Client.

1. What we are doing

NEXUS creates one or more synthetic representations of the Subject (“AI Clones”) using artificial intelligence. The AI Clones may include any combination of:

  • A voice clonetrained on the Subject’s voice samples.
  • A face / likeness clonetrained on the Subject’s photos and/or video.
  • A digital stylethat reflects the Subject’s manner of speaking, vocabulary, or presentation.

The AI Clones are used to produce video, audio, and image content (“Generated Content”) only for the purposes set out in Section 3.

2. Training data

To build the AI Clones, NEXUS collects training data (the “Training Data”) directly from the Subject. Depending on the engagement, the Training Data typically includes voice recordings, photographs taken from multiple angles under controlled lighting, video footage, brand voice and vocabulary notes, and any additional reference material the Subject chooses to provide.

The Subject warrants that the Training Data is the Subject’s own voice, likeness, and material, and that the Subject has the right to provide it. NEXUS does not accept Training Data that infringes the rights of any third party.

3. Permitted uses

NEXUS uses the AI Clones to produce Generated Content for the following purposes only:

  • Social media content on platforms approved by the Subject in advance (for example Instagram, TikTok, LinkedIn, YouTube, X, or Facebook).
  • Marketing content for the Client’s business — website, ads, and newsletters.
  • Internal training or educational content.
  • Any other use case expressly agreed in writing with the Subject before production begins.

4. Prohibited uses

NEXUS will not, and will not authorise any third party to:

  • Use the AI Clones to produce content that is false, defamatory, misleading, sexually explicit, politically partisan, or violates the law of the jurisdictions in which it is published.
  • Use the AI Clones to produce content that endorses products, services, individuals, organisations, or causes not approved by the Subject in advance.
  • Use the AI Clones to produce content that purports to be a statement of professional advice — medical, legal, financial, accounting, engineering, or other regulated profession — unless the Subject holds the relevant professional licence and the content has been reviewed for compliance with the applicable professional-conduct rules.
  • Use the AI Clones to make false statements that the Subject has direct knowledge of, including statements about real events, third parties, or the Subject’s personal life.
  • Sell, license, sub-license, gift, or otherwise transfer the AI Clones to any third party.
  • Use the AI Clones to train other AI models, except for the express, isolated purpose of producing Generated Content for the Subject’s engagement under the Client Services Agreement.
  • Continue using the AI Clones after this Consent ends.

5. Approval workflow

Every piece of Generated Content is reviewed and approved in writing by the Subject (or the Subject’s designated approver) before publication. Approval is given via the NEXUS workspace and is recorded for the duration of the engagement.

Where the Subject prefers, they may waive piece-by-piece approval and instead approve a content strategy and pillars, trusting NEXUS to produce within those guardrails. The Subject may revoke any such waiver at any time on written notice.

6. Term

This Consent begins on the date it is signed by the Subject and continues until the earlier of: termination of the Client Services Agreement; the Subject’s written revocation under Section 7; or any fixed end date the Subject and NEXUS agree to in writing.

7. Right to revoke

The Subject may revoke this Consent at any time, for any reason, by sending written notice to privacy@auraaia.com and to the Client. On revocation:

  • NEXUS stops producing new Generated Content using the AI Clones within 5 business days.
  • NEXUS deletes the Training Data and AI Clone artefacts within 30 days, except where retention is required by law or by this Consent. Backup deletion follows our standard backup cycle.
  • Already-published Generated Content may remain on third-party platforms. NEXUS takes down or unpublishes any Generated Content under its own control and requests takedown of Generated Content posted by NEXUS on the Subject’s or Client’s accounts. The Subject acknowledges that third-party platforms may not honour takedown requests immediately or at all.
  • NEXUS retains documentation of the Consent and the existence of the engagement for legal record-keeping purposes.

8. Posthumous use

The AI Clones may notbe used after the death of the Subject. On notification of the Subject’s death, NEXUS treats the engagement as terminated and deletes the Training Data and AI Clone artefacts under Section 7.

9. Compensation

The Subject’s compensation in respect of this Consent is the fees payable under the Client Services Agreement. No further licence fee or royalty is payable for use of the AI Clones within the scope of this Consent. The Subject acknowledges that the compensation under the Client Services Agreement is full and fair consideration for the rights granted under this Consent.

10. UAE-specific acknowledgements

The Subject acknowledges:

  • The processing of voice and likeness data may constitute processing of personal data of a sensitive nature under the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021). The Subject’s consent is given freely and with knowledge of this.
  • Content distributed in the UAE must comply with applicable law, including the rules of the UAE Media Regulatory Office, content rules concerning public morality, religion, and politics, and Federal Decree-Law No. 34 of 2021 on Combating Rumours and Cybercrimes.
  • The Subject is responsible for the truthfulness and lawfulness of approved content.

11. Compliance with platform rules

Several major platforms (Meta, TikTok, YouTube, X, LinkedIn) require disclosure when content is AI-generated or significantly AI-modified. NEXUS applies the relevant disclosure label on content where required and the Subject will not direct NEXUS to suppress required labels.

12. Data protection and security

NEXUS will:

  • Store Training Data and AI Clone artefacts with role-based access controls and encryption at rest.
  • Restrict access to a minimum necessary set of personnel.
  • Not provide the Training Data or AI Clone artefacts to the Subject’s competitors or third parties not engaged in the Services.
  • Maintain an incident response procedure and notify the Subject and the Client of any personal data breach affecting the Training Data without undue delay.

13. Warranties

The Subject warrants that:

  • The Subject has the legal right to grant this Consent.
  • The Training Data does not infringe any third-party right.
  • The Subject is not subject to any agreement (employment, exclusive talent, union, professional-conduct) that prohibits the grant of this Consent. If the Subject is uncertain, the Subject will obtain confirmation from the relevant counterparty before signing.

14. Indemnification

The Client indemnifies NEXUS in respect of claims arising from misuse of the AI Clones authorised by the Client beyond the scope of this Consent. The Subject indemnifies NEXUS for breach of the warranties in Section 13.

15. Limitation of liability

Subject to applicable law, neither NEXUS nor the Subject will be liable for indirect, incidental, special, consequential, or punitive damages arising under this Consent. NEXUS’s aggregate liability under this Consent shall not exceed the fees paid by the Client to NEXUS in the 12 months before the event giving rise to the claim.

16. Governing law and disputes

This Consent is governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Disputes shall be submitted to the exclusive jurisdiction of the Dubai Courts, or by mutual agreement to DIAC arbitration in Dubai in English.

17. Entire agreement

This Consent, together with the Client Services Agreement and its Schedules, constitutes the entire agreement between the Subject and NEXUS on the subject of AI cloning.

Signing

Signed counterparts of this Consent are executed in PDF form before any recording, training, or generation begins. The signed PDF records the Subject’s identification, the date of signature, the witness (if any), and NEXUS’s counter-signature on behalf of Aura AI Agents L.L.C-FZ. NEXUS retains the signed Consent for the duration of the engagement and for any applicable legal retention period thereafter.
